User Terms of Service

Introduction​

Welcome to the TerraQuanta’s website and use the products and services we provide.

Before completing the user registration process, please be sure to read thoroughly and fully understand the User Terms of Service of this website ("Terms of Service"), then choose to accept or not to accept the Terms of Service. Once you complete the registration or start to use the TerraQuanta services in other methods, it shall be deemed that you have read and agreed to be bound by the Terms of Service. If you do not agree with the Terms of Service or any of the terms, you shall not proceed to the next step or stop the registration process.

TerraQuanta reminds you to read carefully and fully understand the contents of each clause, especially Limitation of Liability.

Parties and the Scope of the Terms of Service​

The Terms of Service is a valid contract entered into between you and Beijing TerraQuanta Technology Co., Ltd. ("TerraQuanta" or "we") for user registration on the TerraQuanta website and the use of corresponding services.

The TerraQuanta website includes websites with the domain name www.terraqt.com, etc.

If you intend to use or purchase a specific service on the TerraQuanta website, you still need to confirm the terms of service corresponding to the specific service; please read carefully and fully understand the contents of each term, and choose to accept or not to accept the terms of service.

Registration, use and security of the account​

Eligibility for registration​

You confirm that you are a natural person, legal person or other organization with full capacity for civil rights and civil conducts when you complete the registration process or actually use registered user services in any way permitted by TerraQuanta.

If you are a minor or a person with limited capacity for civil conducts, you shall not have the aforementioned qualification. You and your legal guardian shall bear all the consequences caused by your improper registration.

You shall also ensure that you are not the subject of trade restrictions, sanctions or other laws and regulations imposed by any country, international organization or region, otherwise you may not be able to register and use the TerraQuanta services.

Account Registration​

After you fill in the information as prompted on the registration page, read and agree to the terms of service, and complete all the registration procedures, you shall obtain a TerraQuanta account and become a user of TerraQuanta website.

The account name ("account name") and the password you set during registration shall become your account after successful registration (account name and password are collectively referred to as "Account"); or you can use your mobile phone verification code to register and log in.

The account name you set shall not violate national laws and regulations, TerraQuanta management norms or easily cause confusion between you and TerraQuanta, otherwise your account shall not be successfully registered and TerraQuanta shall have the right to cancel it after proper notice.

You shall accurately provide and timely update your account information in accordance with the requirements of laws and regulations or the prompts on the corresponding pages to make it true, timely, complete and accurate. If the information you provide is wrong, false, outdated or incomplete, TerraQuanta shall send you a notice of inquiry and/or request for correction, and you shall cooperate with TerraQuanta to provide or update the relevant information as required. If the information and materials you fill in are untrue, untimely, incomplete or inaccurate, you shall bear the consequences of your inability to use the TerraQuanta account (the registration shall not be successful, or the account is suspended or cancelled).

TerraQuanta may require you to provide more identity information and information for opening of certain products or services, and perform further identity authentication or qualification verification. Your account shall only be used after passing these authentications and verifications.

Use and security of the account​

You shall have the right to use the account you set to log into the TerraQuanta website, and use services provided by TerraQuanta.

TerraQuanta shall timely notify you of the progress of the service and prompt you for the next step by means of emails, station letters, text messages or phone calls. During the service process, you shall log into TerraQuanta account to view and perform transaction operations.

One TerraQuanta account can only correspond to one unique legal subject. Unless expressly stipulated by laws, judicial ruling or consent of TerraQuanta, you shall not transfer, gift or let others inherit your TerraQuanta account by any means.

Your account and password are set and kept by you. You shall keep your account and password confidential. You shall ensure that you leave the site in the correct steps at the end of each online session.

If you find others are using your TerraQuanta account and password without authorization, you shall notify TerraQuanta immediately; TerraQuanta will assist you to suspend your account, change your password or make other security settings; Please understand that it takes reasonable time for TerraQuanta to take action on your request, and TerraQuanta shall not be responsible for the consequences that have occurred before taking action and caused by you (including but not limited to any loss to you).

TerraQuanta shall have the right to take reasonable technical measures on the website server to ensure the security of each account.

Suspension and cancellation of the account​

Suspension of the account​

Your TerraQuanta account (all or part of the permissions or functions) may be suspended in the following situations, and TerraQuanta shall notify you by email, direct messages, text message or phone call:

  • Violating the Terms of Service, relevant rules, specifications, service descriptions and other service agreements/terms of the TerraQuanta website;
  • Violating the provisions of laws, regulations, policies and legal documents;
  • Required by the competent authority;
  • Reasonably judges by TerraQuanta that you have other situations with the same nature as the above behavior or with similar risks.

Cancellation of the account​

If the situation in the first paragraph above occurs and shall be deemed serious, or based on the requirements of the national authorities, your TerraQuanta account (all or part of the permissions or functions) shall be canceled. TerraQuanta shall send emails, station messages, text messages or phone calls to notify you.

Services and Specifications​

You shall have the right to enjoy the technical and information services provided by TerraQuanta through this website. You shall also perform responsibilities for timely payment and service management in accordance with the Terms of Service and the relevant terms and conditions confirmed when you purchase specific services.

When you use TerraQuanta services, you shall ensure that you shall comply with national and local laws and regulations, industry practices and social public morals, and shall not use the services provided by TerraQuanta to store, publish, and disseminate the following information and content:

  • Any content (information) that violates national laws, regulations and policies;
  • Political propaganda and/or news information that violates state regulations;
  • Information involving state secrets and/or security;
  • Feudal superstition and/or obscene, pornographic, indecent information or information that encourages crime；
  • Betting with prizes, gambling games; information that violates national ethnic and religious policies;
  • Information that interferes with the safe operation of the Internet;
  • Information that infringes upon the legitimate rights and interests of others and/or other information or content that is detrimental to social order, social security, and public morality;
  • You also shall promise not to provide any convenience for others to publish the above-mentioned information content that does not comply with national regulations and/or the terms of service;
  • There shall not be any behavior that damages or attempts to damage network security, etc., including not using technology or other means to damage or disrupt this website and the websites of other customers of TerraQuanta;
  • Use of the services of the TerraQuanta website shall comply with these terms of service;

If you violate the above guarantees, TerraQuanta shall have the right to take measures to delete information, suspend services, and terminate services in accordance with the relevant terms of service, and have the right to suspend or cancel some or all of your account functions.

Protection of Privacy and Personal Information​

Your trust is very important to TerraQuanta. TerraQuanta values the importance of user information security. Intellectual Property​

We respect intellectual property rights, and unless with your consent, TerraQuanta shall not use, modify, copy, publicly transmit, change, distribute, distribute or publicly publish the results of your intellectual property rights.

Any organization or individual who questions that specific content of TerraQuanta website, such as reprinted articles, picture information, etc., may infringe its legitimate rights and interests, shall submit a written notice of rights to TerraQuanta, and TerraQuanta shall take reasonable steps after receiving a qualified notice from the intellectual property rights holder ASAP.

Confidentiality​

TerraQuanta promises to keep confidential the information you submit, and shall not disclose your information to third parties unless:

  • Provided in accordance with the Terms of Service or other service agreements, contracts, online terms, etc. between you and TerraQuanta;
  • According to the provisions of laws and regulations or the requirements of administrative, judicial and other competent authorities;
  • Under the premise of not violating the obligations stipulated in the Terms of Service, the confidential information can be obtained from the public domain.

Information Security Incident​

Based on the requirements of national laws and regulations, TerraQuanta shall manage information security incidents in accordance with relevant security incident processing standards. When an information security incident involving your relevant assets occurs, we shall promptly notify the relevant information of the incident by email, letter, telephone, push notification, etc. and you can also take the initiative to contact us through customer service telephone, key account manager telephone, etc.

Limitation of Liability​

You understand and agree that you shall be liable for any third party claims arising out of your use of the service, breach of these Terms of Service or any action taken under your account. If TerraQuanta and its affiliates, employees, customers and partners are claimed by a third party as a result, you shall be responsible for handling and compensate for all losses and liabilities suffered by TerraQuanta and its affiliates.

To the extent permitted by applicable law, TerraQuanta shall not be liable for any indirect, punitive, special or consequential damages related to or arising from the Terms of Service.

TerraQuanta hereby reminds that you shall abide by the laws of the People's Republic of China during the use of services, and shall not endanger network security, use TerraQuanta's services to engage in activities that infringe on the reputation, privacy, intellectual property rights and other legitimate rights and interests of others. TerraQuanta shall not assume any responsibility for your illegal or breach of contract when using services.

TerraQuanta users shall be fully responsible for uploading, providing and publishing relevant information on the blog of TerraQuanta in accordance with the law.

In some cases, in order to help you use TerraQuanta's services more conveniently, TerraQuanta may display reference code or software (if it is a third-party open source software, you shall comply with the relevant use requirements of the third-party open source software), based on the instructions on the corresponding display page. Such software may allow you to download, carry out secondary development and other related operations, you shall understand and promise that the intellectual property rights of such code belong to TerraQuanta, and you shall clearly indicate the right holder when using it. At the same time, TerraQuanta shall not be responsible for your ability to use and consequences of using such codes and software.

Force Majeure and Unexpected Events​

TerraQuanta's website may not be able to operate normally due to the following Force Majeure or unexpected events, TerraQuanta shall not be liable for damages:

  • Due to force majeure factors such as natural disasters, strikes, riots, wars, government actions, judicial administrative orders;
  • Due to power supply failure, communication network failure and other public service factors;
  • With advance announcement or notification that TerraQuanta intends to maintain the system in a short period of time.

Governing Law and Jurisdiction​

The validity, interpretation, modification, enforcement and dispute resolution of the Terms of Service shall be governed by the laws of the People's Republic of China. Disputes arising from the Terms of Service shall be submitted to the competent people's court in Beijing for settlement.

Notice Served​

You understand and agree that TerraQuanta shall have the rights to send you notifications through one or more methods, such as webpage announcements, emails, text messages, phone calls, system messages and instant messaging, and TerraQuanta shall rely on the contact information you provide to be complete, accurate and current; the above notice shall be deemed delivered upon successful delivery.

Unless otherwise stipulated in the Terms of Service or the agreement signed by TerraQuanta and you clearly stipulates the method of notification, the notice you send to TerraQuanta shall be through the official communication address, fax number, email address and other contact information of TerraQuanta.

Update and Termination of terms​

TerraQuanta shall have the right to change the contents of the Terms of Service, the corresponding service rules, and announce or notify them by means of webpage announcements, emails, site letters, text messages, etc.; if you continue to use this service after the contents of the Terms of Service are changed, it shall be deemed that you have fully read, understood and accepted the revised content, and shall also abide by the revised terms and conditions.

The Terms of Service shall be terminated when your account is canceled or terminated by mutual agreement.

Miscellaneous​

The Terms of Service consist of the content of the Terms of Service, rules and specifications displayed on the relevant pages of the website, service descriptions and other terms/conditions that you click to confirm. Both TerraQuanta and you are bound by them, and the relevant terms in it shall refer to each other.

The section headings in the Terms of Service are for convenience only and shall have no legal or contractual effect.

If any of the provisions of the Terms of Use are void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of the Terms of Use, so that the Terms of Use shall remain in full force and effect.

TerraQuanta shall have the right to transfer all or part of the rights and obligations of its service to the affiliates of TerraQuanta by publishing announcements on the official website of Terraqt (www.terraqt.com), sending in-site notices or email notifications, etc.

The Confidentiality clauses, Intellectual Property clauses, Governing Law and Jurisdiction clauses and other clauses that shall exist in nature (such as the authenticity guarantee of registration information, etc.) shall not be invalidated by the termination of the Terms of Service.
